Specific engagements — such as a marketing retainer, a software development project, or a product subscription — may also be governed by a separate proposal, statement of work, or service agreement. Where a conflict exists, the terms of that specific agreement will take precedence over these general Terms.

Tektree Digital provides digital marketing services (including SEO, AEO, GEO, paid media, content marketing, social media, and reputation management), software development services (including websites, web applications, e-commerce platforms, and system integrations), and standalone software products.

The specific scope, deliverables, timeline, and fees for any engagement will be set out in a proposal, quotation, or service agreement provided to you before work begins. We reserve the right to modify, suspend, or discontinue any part of our services or products, with reasonable notice where practicable.

All content on our website — including text, graphics, logos, designs, and software — is owned by Tektree Digital or our licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our written permission.

Unless otherwise agreed in a signed service agreement, final deliverables created specifically for a client (such as a completed website or custom application) transfer to the client upon full payment. Tektree Digital retains ownership of its pre-existing tools, frameworks, methodologies, and proprietary code libraries used to build those deliverables, and retains the right to reuse general knowledge, techniques, and non-confidential concepts developed during an engagement.

When engaging our services, you agree to:

• Provide accurate, complete, and timely information required to deliver the service
• Provide timely feedback, approvals, and access to any systems, accounts, or content we need
• Ensure you have the necessary rights to any content, brand assets, or data you provide to us
• Use our services and deliverables in compliance with applicable laws

Delays in providing information, feedback, or access may affect project timelines and are not the responsibility of Tektree Digital.

Fees for services and products are set out in your proposal, quotation, or service agreement. Unless otherwise agreed, invoices are due within the timeframe specified on the invoice. Late payments may result in a pause of active work or services until the account is brought current.

Fees paid for work already performed are generally non-refundable, except as otherwise required by applicable law or expressly agreed in writing.

Both parties agree to keep confidential any non-public business, technical, or strategic information shared during the course of an engagement, and to use it only for the purpose of delivering or receiving the relevant services. This obligation continues after the engagement ends, except for information that becomes public through no fault of the receiving party.

Digital marketing outcomes — including search rankings, AI search visibility, traffic, leads, and conversions — depend on factors outside our control, such as search engine and AI platform algorithms, market competition, and industry conditions. While we apply proven strategies and best practices, we do not guarantee specific rankings, traffic levels, revenue outcomes, or timeframes for results.

To the fullest extent permitted by applicable law, Tektree Digital will not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website, services, or products, including loss of profits, revenue, data, or business opportunities. Our total liability for any claim arising from a specific engagement will not exceed the fees paid by you for that engagement in the six months preceding the claim.

Our website and general information are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, or completely secure.

Our website and services may reference or link to third-party websites, platforms, or tools (such as Google, Meta, or LinkedIn advertising platforms). We are not responsible for the content, policies, or practices of any third party, and your use of third-party services is subject to their own terms.

Either party may terminate an active engagement in accordance with the notice period set out in the relevant service agreement. We reserve the right to suspend or terminate access to our website or products if these Terms are violated. Upon termination, you remain responsible for payment of fees for work performed up to the effective date of termination.

You agree to indemnify and hold Tektree Digital harmless from any claims, damages, or expenses arising from your misuse of our website or services, your violation of these Terms, or your infringement of any third party's rights through content or materials you provide to us.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles, unless otherwise specified in a signed service agreement. Any disputes arising from these Terms will be resolved through good-faith negotiation in the first instance.

Neither party will be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or other similar events.

We may update these Terms from time to time to reflect changes to our services, technology, or legal requirements. When we make changes, we will update the "Last Updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with any applicable service agreement, constitute the entire agreement between you and Tektree Digital regarding your use of our website and services.
